Welcome to CRUDDU LTD.

These Terms & Conditions (“Terms”) explain the basis on which CRUDDU LTD (“we”, “us” or “our”) provides tax, bookkeeping and administrative support services.

Please read these Terms carefully before using our services.

By engaging our services, you agree to the Terms applicable to your engagement, together with any separate engagement letter, quotation or written service agreement accepted by both parties.

Nothing in these Terms affects your statutory rights under applicable UK law.

CRUDDU LTD is an independent business providing tax, bookkeeping and administrative support to individuals, self-employed people and small businesses.

3. Our services

We offer a range of services, including:

  • Self Assessment tax return preparation and submission support.

  • Construction Industry Scheme (CIS) support.

  • Making Tax Digital (MTD) assistance and quarterly updates.

  • Bookkeeping and financial record organisation.

  • HMRC registration and administrative support.

  • Other agreed administrative services.

The exact services provided will depend on the client's requirements and the scope of work agreed with us.

We will confirm the relevant services, fees and any important conditions in writing, which may include an engagement letter, quotation, email or service agreement.

Where a separate written agreement contains specific terms for a particular service, those terms will take precedence over these general Terms to the extent of any inconsistency, subject to applicable law.

Any services outside the agreed scope may require a separate agreement and additional fees.

We will perform our services with reasonable care and skill.

We cannot guarantee a particular tax refund, HMRC decision, processing time or other outcome outside our control.

4. Fees and payment

Our fees will be explained to clients before work begins.

Depending on the service, fees may be charged:

  • At a fixed price.

  • Through a monthly or annual service package.

  • On a quarterly basis.

  • At an agreed hourly or project-based rate.

The price, payment schedule and services included will be confirmed before the client enters into an agreement.

Any applicable taxes or additional charges will be explained as required by law.

Additional services

If a client requests work outside the agreed scope, we will explain the additional charges and obtain agreement before undertaking chargeable additional work.

Payment

Payment may be required in advance, in instalments or upon completion, depending on the service agreed.

Invoices and payment instructions will specify the amount due and the payment deadline.

If payment is overdue, we may suspend or decline further work after giving appropriate notice, where permitted by law and the terms of the relevant agreement.

We will not impose charges or penalties that are unlawful or unfair.

5. Client responsibilities

To enable us to provide our services effectively, clients are responsible for:

  • Providing accurate, complete and up-to-date information.

  • Supplying requested documents within a reasonable timeframe.

  • Informing us promptly of changes that may affect their tax or financial circumstances.

  • Responding to requests for clarification or additional information.

  • Reviewing tax returns, calculations and other documents prepared for their approval.

  • Confirming that information is correct before authorising submissions.

  • Maintaining their own records where required by law.

  • Paying agreed fees in accordance with the relevant payment terms.

Clients remain responsible for the accuracy and completeness of information they provide.

We may rely on information and documents supplied by clients unless we have reason to question their accuracy or completeness.

Where information appears inconsistent or incomplete, we may request clarification or supporting documents before proceeding.

Nothing in this section removes our responsibility to exercise reasonable care and skill when providing our services.

6. HMRC authorisation and submissions

Where a service involves communicating with HM Revenue & Customs (HMRC) or submitting information on a client's behalf, appropriate authorisation may be required.

Clients must provide the necessary approvals and authorisations before we can undertake the relevant work.

Where required, clients will be asked to review and approve tax returns or other submissions before they are sent to HMRC.

We will only submit information on a client's behalf where we have the necessary authority to do so.

HMRC is responsible for its own assessments, processing procedures, decisions and refunds.

We cannot guarantee that HMRC will accept a particular tax treatment, approve a claim or issue a refund.

7. Deadlines and late information

We will take reasonable care to meet deadlines that fall within the scope of our agreed services.

However, our ability to complete work on time depends on receiving the necessary information, documents, instructions and authorisations sufficiently in advance.

Clients should provide requested information promptly and notify us of any approaching deadlines.

We cannot guarantee that a deadline will be met where delays arise from:

  • Late, incomplete or inaccurate information supplied by the client.

  • Missing documents or authorisations.

  • Failure to respond to reasonable requests.

  • HMRC system failures or technical issues outside our reasonable control.

  • Other circumstances beyond our reasonable control.

Where possible, we will inform clients if a delay may affect an agreed deadline.

We are not responsible for penalties, interest or losses arising solely from circumstances outside our reasonable control or from a client's failure to fulfil their responsibilities.

However, nothing in these Terms excludes or limits our responsibility where a missed deadline or other loss results from our own failure to exercise reasonable care and skill.

8. Third-party software and services

We may use third-party software and service providers to deliver our services, including tax software, bookkeeping systems, document storage and communication platforms.

These providers may have their own terms of use and privacy policies.

Where personal information is shared with third-party providers, it will be handled in accordance with our Privacy Policy and applicable data protection law.

We are not responsible for decisions independently made by HMRC or other public authorities.

However, the use of third-party software or services does not remove our responsibility to exercise reasonable care and skill in providing the services we have agreed to perform.

9. Scope and limitations of our services

Our services are limited to the work expressly agreed with each client.

Unless separately agreed in writing, our services do not include:

  • Legal representation or legal advice.

  • Regulated financial advice.

  • Investment advice.

  • Audit or assurance services.

  • Any other specialist service outside the agreed scope of work.

Where specialist assistance is required, we may recommend that the client consult an appropriately qualified professional.

We do not guarantee that a particular tax refund, benefit, financial outcome or decision by a public authority will be achieved.

We will explain any significant limitations of the agreed services where relevant.

10. Our liability

CRUDDU LTD will provide its services with reasonable care and skill in accordance with applicable UK law.

We are not responsible for inaccuracies or delays caused solely by information that a client has failed to provide, or has provided incorrectly or late, except where the loss also results from our own failure to exercise reasonable care and skill.

We cannot guarantee decisions, processing times or outcomes determined independently by HMRC or other third parties.

However, this does not exclude our responsibility for any failure on our part to provide services with reasonable care and skill.

Nothing in these Terms excludes or limits liability for:

  • Death or personal injury caused by negligence.

  • Fraud or fraudulent misrepresentation.

  • Breach of any statutory obligation or consumer right where liability cannot lawfully be excluded or restricted.

  • Any other liability that cannot legally be excluded or limited.

Nothing in these Terms affects the statutory rights of consumers.

11. Cancellations and refunds

Clients who wish to cancel a service should contact CRUDDU LTD as soon as possible.

Cancellation rights and any refund entitlement will depend on the type of service, the circumstances in which the contract was entered into and applicable law.

11.1 Consumer cancellation rights

Where a client is acting as a consumer and enters into a service contract with us online, by telephone or through another distance-selling arrangement, they will generally have the right to cancel the contract within 14 days of the date the contract is entered into, subject to applicable legal exceptions.

Clients may exercise this right by contacting us and clearly stating their decision to cancel. They do not need to provide a reason.

Where a valid statutory cancellation right is exercised, we will issue any refund due without undue delay and within 14 days of being informed of the cancellation.

Refunds will normally be made using the original payment method unless otherwise agreed.

11.2 Services started during the cancellation period

If a consumer expressly requests that we begin providing services during the statutory cancellation period and subsequently cancels, we may be entitled to charge a proportionate amount for services already supplied, provided the applicable legal requirements have been met.

Where a service has been fully performed during the cancellation period, the statutory cancellation right may be lost if the consumer expressly requested early performance and acknowledged that the right would be lost once the service was fully performed, in accordance with applicable law.

We will explain these arrangements where relevant before starting work.

11.3 Business clients

Where statutory consumer cancellation rights do not apply, cancellations and refunds will be handled according to the relevant service agreement and applicable law.

11.4 Cancellation by CRUDDU LTD

We may decline, suspend or terminate services where there is a lawful and reasonable basis to do so, including where:

  • A client fails to provide information essential to the service.

  • Required identity verification or legal compliance checks cannot be completed.

  • A client requests that we undertake unlawful or misleading activities.

  • Agreed fees remain unpaid after appropriate notice.

  • Continuing the engagement would breach a legal or regulatory obligation.

Where appropriate and lawful, we will provide reasonable notice and explain the position.

Any refund or outstanding payment will be handled fairly, in accordance with the work performed, the relevant agreement and applicable law.

11.5 Statutory rights

Nothing in this section removes or restricts any statutory right to a refund, price reduction, repeat performance or other remedy where services do not meet applicable legal requirements.

12. Confidentiality and data protection

We respect the confidentiality of information provided by our clients.

We will use personal information only for appropriate business purposes, the delivery of agreed services and compliance with applicable legal obligations.

We may disclose information where authorised by the client, necessary to deliver the agreed services, or required or permitted by law.

Personal information will be handled in accordance with our Privacy Policy and applicable UK data protection legislation.

Clients can find further information about how we collect, store, use and protect personal information in our Privacy Policy.

13. Complaints and concerns

We aim to provide a professional, reliable and friendly service.

If a client is dissatisfied with any aspect of our work, we encourage them to contact us so that we can investigate and try to resolve the issue.

Complaints can be submitted by email, telephone or post using the contact details below.

Please provide sufficient information about the concern so that we can investigate it properly.

We will acknowledge and respond to complaints within a reasonable timeframe and keep clients informed where further investigation is necessary.

Nothing in this section prevents clients from exercising their legal rights or seeking assistance from an appropriate authority.

14. Changes to these Terms

We may update these Terms from time to time to reflect changes in our services, business practices or applicable law.

Updated Terms will be published on our website with the date of the most recent revision.

Changes to the website Terms will not automatically alter an existing client agreement.

Where a change to an existing agreement is proposed, we will follow the relevant contractual terms and applicable law and obtain the client's agreement where required.

15. Governing law

These Terms are governed by the laws of England and Wales.

Nothing in this section removes any mandatory legal protections or rights that may apply to a consumer, including rights relating to where legal proceedings may be brought.
